Specific deliverables, timelines, costs, and payment terms are detailed in individual service agreements. We reserve the right to modify, suspend, or discontinue any service at any time with appropriate notice.

3. Intellectual Property Rights

Our Content: All source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and trademarks on our website are owned or controlled by us or our licensors and are protected by copyright and trademark laws.

Client Content: You retain ownership of any content you provide to us ("Client Content"). You grant us a license to use Client Content solely for the purpose of providing our services to you.

Work Product: Upon full payment, you will own the final deliverables created specifically for you, including website designs, code, content, and materials ("Work Product"), unless otherwise specified in your service agreement.

4. Payment and Billing

Payment Terms: Payment is due as outlined in your service agreement or invoice. We accept major credit cards and bank transfers via secure payment processors.

Late Payments: Accounts not paid within 30 days of invoice date will be considered past due. Past due accounts may incur late fees of 1.5% per month (18% annually) or the maximum permitted by law.

Refunds: Refunds are not provided for completed services unless services fail to meet agreed-upon specifications. Refund requests must be submitted within 14 days of service completion.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profit, revenue, data, or business opportunity
• Damages resulting from your use of or inability to use our services
• Third-party claims related to your use of our services
• Any amount exceeding the fees paid to us in the 12 months preceding the claim

6. No Guarantee of Results

While we work diligently to help you achieve your business goals, we do not guarantee specific results, including website traffic, lead generation, rankings, or revenue. Results depend on many factors including your industry, competition, market conditions, and execution of recommendations. Our services are provided on a best-effort basis.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of business. This does not include information that is:

• Publicly available
• Independently developed without use of confidential information
• Required to be disclosed by law or court order

8. Indemnification

You agree to indemnify, defend, and hold harmless TGN Growth Engineers from any claims, damages, or liabilities arising from your use of our services, your content, or your violation of these terms.

9. Third-Party Links and Services

Our website may contain links to third-party websites and services. We are not responsible for the content, accuracy, legality, or practices of these external sites. Your use of third-party services is governed by their terms and policies.

10. Termination

Either party may terminate a service agreement with written notice as specified in the agreement. Upon termination:

• You must pay all outstanding invoices
• We will cease providing services
• Sections regarding confidentiality and limitation of liability survive termination

11. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Baltimore, Maryland.

12. Entire Agreement

These Terms of Service, along with any service agreement and privacy policy, constitute the entire agreement between you and TGN Growth Engineers and supersede all prior negotiations, understandings, and agreements.

13. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to the website. Your continued use of our services constitutes acceptance of modified terms.
